Terms of Service

These Terms of Service ("Terms") govern access to and use of the Wealthstein credit scoring platform, including our API, dashboard, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of the lender or financial institution you represent ("Customer", "you").

1. What Wealthstein is — and isn't

Wealthstein provides credit scoring infrastructure: an API and dashboard that turn permitted borrower data into a credit score, factor breakdown, and decision recommendation. Wealthstein is a scoring processor, not a lender. We do not extend credit, hold a lending license, or have any lending relationship with any borrower. You hold the lending license, the borrower relationship, and full responsibility for every credit decision made using our scores.

2. Eligibility and account approval

Access to the Service requires a valid work email address at a licensed lending institution — personal or free email addresses are not accepted. New accounts are reviewed before approval, and we may decline or revoke access at our discretion, including where we cannot verify your institution or lending authority.

3. Your responsibilities as a Customer

You are responsible for:

Holding all lending licenses and regulatory approvals required in every jurisdiction where you operate. Obtaining valid, informed consent from each borrower before submitting their data to Wealthstein. Complying with applicable consumer-protection, credit-reporting, and data-protection law. Keeping your API keys and dashboard credentials confidential, and notifying us promptly if you believe either has been compromised. Making your own independent lending decisions — Wealthstein's score is one input, not a determination.

4. Data and consent

You warrant that you have the legal right and borrower consent necessary to submit any data you send us. Wealthstein processes that data solely to compute and return a score to you, and to maintain a persistent Credit Identity that may be referenced by other lenders only where the borrower has separately and explicitly consented to that specific lender's access. We do not sell borrower data.

5. Fees and payment

Access to production use of the Service requires a one-time onboarding fee, disclosed at the time of approval, plus ongoing usage-based fees billed per credit account created and per score check requested. Fees are non-refundable once a billing period has started. We may change our pricing on notice; continued use after a price change takes effect constitutes acceptance.

6. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided during an active pilot and early commercial phase and may include sandbox environments, synthetic data modes, and features still under active development. We will communicate materially significant changes affecting your integration where reasonably practicable.

7. Intellectual property

Wealthstein retains all rights to the Service, including the scoring model, software, and documentation. You retain all rights to your own data and the data you submit on behalf of your borrowers. Nothing in these Terms transfers ownership of either party's intellectual property to the other.

8. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own confidential information, and will not disclose it except to employees, contractors, or regulators who need it and are bound by equivalent confidentiality obligations.

9. Limitation of liability

Wealthstein scores are a decision-support input, not a lending decision. To the fullest extent permitted by law, Wealthstein is not liable for any lending, credit, or business decision made using our scores, and our total liability arising from these Terms will not exceed the fees you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify Wealthstein against claims arising from your lending decisions, your failure to obtain valid borrower consent, or your violation of applicable law.

11. Term and termination

These Terms remain in effect while you maintain an account. Either party may terminate for material breach not cured within a reasonable period after notice. We may suspend or terminate access immediately where we reasonably believe continued access poses a legal, security, or regulatory risk.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active Customers by email or dashboard notice before taking effect.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless a separately negotiated agreement with your institution states otherwise.
